“Commission Period”

The twelve (12) consecutive calendar months beginning on the date the Referred Customer's first paid subscription payment is successfully processed.

“Lead”

A prospective customer who is not an existing PlanBase subscriber or active prospect in our CRM at the time of referral, is introduced via your Unique Referral Link or direct submission, and meets our target customer profile of a Canadian financial advisor, planner, or advisory firm. PlanBase determines Lead eligibility in its sole discretion.

“Monthly Subscription Fee”

The recurring monthly amount paid by a Referred Customer for access to PlanBase. The current standard Professional plan rate is $145.00 CAD/month. Commission is calculated on the actual Net Amount received by PlanBase, after deducting any discounts, credits, refunds, and taxes.

“Referral Commission”

Ten percent (10%) of the Net Amount received by PlanBase from a Referred Customer during each month of the Commission Period.

“Referred Customer”

A Lead who uses your Unique Referral Link to subscribe, enters into a paid subscription with PlanBase, and completes at least one successful payment. PlanBase determines eligibility in its sole discretion.

“Unique Referral Link”

The personalized URL generated by PlanBase and assigned exclusively to you for use in the Program.

The Program is free to join and open to Canadian residents or Canadian-registered firms who are not currently in breach of any agreement with PlanBase and are not a direct competitor of PlanBase.

To enroll, complete the referral application form on the PlanBase website. Upon acceptance, PlanBase will send your Unique Referral Link within one (1) business day. Submission does not guarantee acceptance. PlanBase reserves the right to decline any application in its sole discretion.

Once enrolled, refer financial planners, independent advisors, and advisory firms by sharing your Unique Referral Link:

1. Join: Complete the application. PlanBase sends your Unique Referral Link within one business day.
2. Share: Send your link to financial planners, independent advisors, and firms you know. No cold outreach on behalf of PlanBase is permitted without prior written approval.
3. Earn: When a Lead subscribes using your link and completes at least one payment, you earn 10% of their monthly subscription fee every month for up to 12 months.

You may also submit a Lead's contact information directly to referrals@planbase.ca, provided that Lead is not already referred by another participant or active in our sales pipeline.

As a participant, you agree to:

• Represent the PlanBase platform honestly and accurately at all times
• Not make any representations, warranties, or commitments on behalf of PlanBase
• Not use paid advertising, SEM/PPC, or paid social media without PlanBase's prior written consent
• Not engage in spamming, unsolicited mass messaging, or practices that violate CASL or other anti-spam laws
• Not misrepresent your relationship with PlanBase or imply you are an employee, agent, or official representative
• Only use marketing materials provided or approved in writing by PlanBase
• Disclose your participation in the referral program to anyone you refer, as required by applicable advertising standards

PlanBase may provide approved brand assets for use in connection with the Program. Any use must comply with PlanBase's brand guidelines and must not be altered without prior written approval. Upon termination of your participation, you must immediately cease all use of PlanBase's name, trademarks, and approved marketing materials.

You will have access to a Referral Dashboard to track link activity, Lead status, and commission earnings in real time. PlanBase uses commercially reasonable efforts to maintain dashboard accuracy but does not warrant error-free data at all times.

These Terms take effect upon acceptance of your application and continue indefinitely unless terminated. Either party may terminate at any time with written notice. PlanBase may terminate or suspend your participation immediately for breach of these Terms, fraudulent conduct, or conduct detrimental to PlanBase's reputation.

Upon termination: (i) you immediately cease all referral and promotional activity; (ii) validly earned and unpaid commissions will be paid per the regular schedule; and (iii) no further commissions accrue after the termination date.

Each party agrees to keep confidential any non-public information received from the other in connection with the Program. You acknowledge that PlanBase's customer lists, pricing, platform features, and business strategies constitute Confidential Information of PlanBase.

You are an independent contractor, not an employee, agent, partner, or joint venturer of PlanBase. You have no authority to bind PlanBase or enter any agreement on PlanBase's behalf. You are solely responsible for your own business expenses, taxes, and legal compliance.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLANBASE'S TOTAL LIABILITY TO THE REFERRER SHALL NOT EXCEED THE TOTAL REFERRAL COMMISSIONS ACTUALLY PAID IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL PLANBASE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF ANTICIPATED COMMISSIONS.

These Terms are governed by the laws of the Province of Ontario, Canada. Any dispute shall be subject to the exclusive jurisdiction of the provincial and federal courts in Ontario. Parties will first attempt to resolve commission disputes through good faith discussion for thirty (30) days before pursuing legal remedies.

PlanBase reserves the right to modify the Program at any time, including commission rates, eligibility requirements, and payment terms. PlanBase will provide at least thirty (30) days' written notice before any material reduction in commission rates takes effect on existing referrals. If you do not agree with any modification, your sole remedy is to terminate your participation by contacting referrals@planbase.ca.

Entire Agreement: These Terms, together with the PlanBase Privacy Policy and Terms of Service, constitute the entire agreement between the parties regarding the Program.

Severability: If any provision is held invalid or unenforceable, the remaining provisions continue in full force.

Assignment: You may not assign your rights under these Terms without PlanBase's prior written consent. PlanBase may assign in connection with a merger, acquisition, or sale of assets.

Language: The parties confirm that these Terms and all related documents be drawn up in English. Les parties confirment leur volonté que les présentes modalités soient rédigées en anglais.
