By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. We may update these Terms from time to time. Continued use of the Site after any changes constitutes your acceptance.

Use of specific services provided by PlanBase, including any software, applications, or platform features, is subject to our Software Services Agreement (“SSA”), which is separate from these Terms. In the event of any conflict between these Terms and the SSA with respect to the use of our software services, the SSA shall prevail.

The content on the Site, including texts, graphics, images, logos, trademarks, software, and code, is owned by PlanBase or its licensors and is protected by applicable intellectual property laws.

PlanBase grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site and Services solely for the purpose of preparing or viewing financial plans and providing financial planning services to your clients (“Permitted Purpose”). This licence does not include the right to:

• Resell or make any commercial use of the Site or its Content
• Modify, copy, distribute, or create derivative works from any Content
• Use data mining, robots, scraping, or similar data extraction methods
• Use the Site or Services for any purpose other than the Permitted Purpose
• Access the Services to build a competing product or service, or to benchmark or evaluate the Services for competitive intelligence purposes

When you register for an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials and not share your password
• Accept responsibility for all activities under your account
• Immediately notify us of any unauthorized use at support@planbase.ca

PlanBase reserves the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms.

All payment transactions are processed through Stripe, Inc. (“Stripe”). By making a purchase, you agree to provide accurate payment information, authorize charges to your payment method, and be bound by Stripe's terms of service.PlanBase does not store your full credit card information.

Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected) and automatically renew unless cancelled before the end of the current billing period. For billing questions, contact support@planbase.ca.

PlanBase may offer a free trial period (“Trial”) for new subscribers. The following terms apply to any Trial:

• The Trial provides full access to the Professional plan for the stated trial period (currently 14 days) at no charge and with no credit card required.
• Trial accounts and data may be deleted if you do not convert to a paid subscription before the Trial ends. We will make reasonable efforts to notify you before any deletion.
• No service level agreement (SLA) or uptime commitment applies during the Trial. The Services are provided on an “as-is” basis during the Trial period.
• Upon conversion to a paid subscription, your data will be retained and the full Software Services Agreement will govern your use of the Services.
• PlanBase reserves the right to modify or discontinue the Trial offer at any time.

PlanBase is a productivity and financial planning tool designed for use by licensed financial advisors, financial planners, and related professionals. The platform does not constitute financial, investment, tax, or legal advice, and nothing on the Site should be construed as a recommendation or guarantee of any financial product, strategy, or outcome.

You are solely responsible for the professional advice you provide to your clients. Your use of PlanBase must comply with your applicable professional obligations and regulatory requirements, including those imposed by CIRO and the FP Canada Standards Council.

By submitting any material to the Site (other than personal information subject to our Privacy Policy), you grant PlanBase a perpetual, worldwide, non-exclusive, royalty-free licence to use and display such content. You represent and warrant that you own or control all rights to the content you submit.

You agree not to use the Site or Services to:

• Violate any applicable local, provincial, national, or international law or regulation
• Transmit harmful, threatening, abusive, defamatory, obscene, or objectionable content
• Impersonate any person or entity
• Transmit spam, malware, or other malicious code
• Interfere with or disrupt the Site or related networks or servers
• Attempt to gain unauthorized access to any portion of the Site or other accounts
• Reverse engineer, decompile, or attempt to derive source code of the Services
• Scrape or republish financial planning outputs, templates, or methodologies for competitive purposes
• Use the Services if you are a direct competitor of PlanBase, or access the Services for benchmarking or competitive intelligence purposes

The Site may contain links to third-party websites or services not owned or controlled by PlanBase. We assume no responsibility for their content, privacy policies, or practices, and such links do not constitute endorsement by PlanBase.

Your use of the Site is subject to our Privacy Policy, incorporated by reference. By using the Site, you consent to the collection and use of your information as described therein.

You agree to use the Site in compliance with all applicable laws, including securities, financial planning, and data protection laws. You are solely responsible for ensuring your use complies with all applicable laws and regulations in your jurisdiction.

PlanBase complies with Canada's Anti-Spam Legislation (CASL). By creating an account or subscribing to the Services, you consent to receive transactional and service-related electronic communications from PlanBase, including account notifications, billing confirmations, and support messages. These are necessary for operation of the Services.

Where you have separately opted in, we may send promotional communications. You may withdraw consent to marketing communications at any time by clicking “unsubscribe” in any marketing email or by contacting hello@planbase.ca.

PlanBase operates from Ontario, Canada. If you access the Site from outside Canada, you are responsible for compliance with applicable local laws and consent to the transfer of your information to Canada for processing.

You agree to defend, indemnify, and hold harmless PlanBase, its affiliates, licensors, service providers, officers, directors, employees, and agents from and against any claims, liabilities, damages, costs, and fees arising out of or relating to: (a) your violation of these Terms; (b) your use of the Site or Services outside the Permitted Purpose; (c) any content you submit; (d) your violation of any third-party rights; or (e) your failure to comply with applicable professional, regulatory, or legal obligations.

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND. PLANBASE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLANBASE'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 CAD OR THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL PLANBASE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

These Terms are governed by the laws of the Province of Ontario, Canada. Any dispute shall be subject to the exclusive jurisdiction of the provincial and federal courts in Ontario. Each party waives any right to a jury trial.

PlanBase may terminate or suspend your access at any time, with or without cause or notice. Upon termination, your right to use the Site ceases immediately.

Upon termination or cancellation of a paid subscription, you will have 30 days to export your data and financial plans. After 30 days, your data may be permanently deleted. You are responsible for exporting your data before this window closes.

We may modify these Terms at any time. Material changes will be communicated by posting updated Terms with a revised “Last Updated” date and, where practicable, by email. Continued use after posting constitutes acceptance.

If any provision is held invalid, it will be modified to the minimum extent necessary or severed. Remaining provisions continue in full force.

These Terms, together with our Privacy Policy and, where applicable, our Software Services Agreement, constitute the entire agreement between you and PlanBase concerning your use of the Site.
